You may use the Services only if you are legally able to enter into a binding agreement. If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may not use the Services in violation of applicable law or regulation; interfere with, disrupt, or compromise the security or operation of the Services; attempt to access systems, data, or accounts without authorization; reverse engineer, decompile, or attempt to derive source code except where permitted by law; use the Services to transmit malicious code, harmful content, or unauthorized data; or misrepresent your identity or affiliation with any person or organization.

Some Services may be offered as private beta, preview, pilot, or evaluation services. These Services may be incomplete, experimental, or subject to change.

We may modify, suspend, or discontinue beta features at any time. Unless otherwise agreed in writing, beta Services are provided for evaluation purposes only and should not be relied upon for production, regulated, safety-critical, or mission-critical use.

You are responsible for maintaining the confidentiality of any credentials, keys, or access methods associated with your use of the Services. You are responsible for all activity under your account or access credentials.

You agree to notify us promptly if you believe your access credentials have been compromised.

You may provide information, data, text, code, prompts, configurations, feedback, or other materials to the Services (“Customer Content”).

You retain ownership of your Customer Content. You grant Bindable AI a limited right to use Customer Content as necessary to provide, maintain, secure, and improve the Services, and as otherwise described in our Privacy Policy or agreed in writing.

You represent that you have all rights necessary to provide Customer Content to the Services.

If you provide ideas, suggestions, comments, or other feedback about the Services, you grant Bindable AI the right to use that feedback without restriction or compensation to you.

Bindable AI and its licensors retain all rights, title, and interest in and to the Services, including all software, designs, text, graphics, logos, documentation, technology, and other materials.

Bindable AI, Bindable, and related names, logos, product names, service names, designs, and slogans are trademarks or service marks of Bindable AI LLC. You may not use them without our prior written permission.

Other names, logos, product names, service names, and marks are the property of their respective owners.

Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

The Services may link to or integrate with third-party websites, tools, platforms, or services. We are not responsible for third-party services and do not control their terms, policies, availability, or security.

Your use of third-party services is governed by the terms and policies of those third parties.

If you receive non-public information from Bindable AI, including private beta materials, technical information, roadmap information, product plans, documentation, or other confidential materials, you agree not to disclose or use that information except as permitted by Bindable AI in writing.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDABLE AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDABLE AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDABLE AI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO BINDABLE AI FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

You agree to defend, indemnify, and hold harmless Bindable AI and its officers, directors, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses arising from your use of the Services, your Customer Content, or your violation of these Terms.

We may suspend or terminate your access to the Services if we believe you have violated these Terms, created risk for Bindable AI or others, or used the Services unlawfully or improperly.

You may stop using the Services at any time.

We may update the Services or these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms or by other reasonable means.

Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless otherwise required by applicable law.

These Terms are the entire agreement between you and Bindable AI regarding the Services, unless we have entered into a separate written agreement.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
